BUKU TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, APIs, and services operated by BUKU Shipping, Inc., a Utah corporation (“BUKU,” “we,” “us,” or “our”), including without limitation the intellirate.buku-io.com website, the BUKU Shopify application, and the BUKU Hub API (collectively, the “Service”). 

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service. 

  1. Acceptance of Terms

1.1 Binding Agreement.
These Terms constitute a legally binding agreement between the user and BUKU. 

1.2 Authority.
If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such an entity to these Terms. In that case, “you” and “your” refer to that entity. 

1.3 Modifications.
BUKU may modify these Terms from time to time. Any changes become effective upon posting. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. 

  1. Definitions
  • “Customer Data” means data provided by or on behalf of you through the Service, including order, shipment, and tracking information. 
  • “Third-Party Platforms” means third-party services integrated with the Service, including Shopify, shipping carriers, warehouses, and payment providers. 
  • “User” means any individual authorized to access the Service under your account. 
  • “Content” means all software, functionality, reports, analytics, text, images, and materials made available through the Service. 
  1. Description of the Service

BUKU provides a technology platform that enables merchants and logistics partners to access shipping-related data, reporting, automation, and integrations. 

BUKU is not a carrier, freight forwarder, warehouse operator, or insurer. All shipments, transportation services, and fulfillment services are provided by Third-Party Platforms under their own terms. 

BUKU may modify, enhance, or discontinue portions of the Service at any time. 

  1. Eligibility and Account Registration

4.1 Eligibility.
You must be at least 18 years old to use the Service. 

4.2 Account Information.
You agree to provide accurate, complete, and current information and to keep such information updated. 

4.3 Account Responsibility.
You are responsible for all activities that occur under your account, including actions taken by Users you authorize. 

4.4 Security.
You are responsible for maintaining the confidentiality of your login credentials and for notifying BUKU promptly of any unauthorized access. 

  1. Acceptable Use

You agree not to, and not to permit any User or third party to: 

  • Use the Service for any unlawful purpose 
  • Reverse engineer, scrape, crawl, or attempt to extract source code or data 
  • Interfere with or disrupt the integrity or performance of the Service 
  • Circumvent usage limits, security features, or access controls 
  • Use the Service to infringe intellectual property or privacy rights 
  • Upload malicious code or harmful content 

BUKU may suspend or terminate access immediately for violations of this Section. 

  1. Third-Party Platforms

The Service may integrate with or rely on Third-Party Platforms. BUKU does not control and is not responsible for: 

  • Availability, performance, or outages of Third-Party Platforms 
  • Accuracy of third-party data 
  • Acts or omissions of carriers, warehouses, or service providers 

Your use of Third-Party Platforms is subject to their separate terms and policies. 

  1. Customer Data and License Grant

7.1 Ownership.
You retain ownership of your Customer Data. 

7.2 License to BUKU.
You grant BUKU a non-exclusive, worldwide, royalty-free license to access, process, store, and use Customer Data solely to: 

  • Provide and operate the Service 
  • Provide customer support 
  • Improve and develop products 
  • Create aggregated and anonymized analytics 

7.3 Support Access.
BUKU may access your account and Customer Data as reasonably necessary to provide support or comply with legal obligations. 

  1. Privacy and Security

BUKU’s collection and use of personal information is governed by its Privacy Policy, which is incorporated by reference. 

BUKU employs reasonable administrative, technical, and organizational safeguards.  Full privacy details can be found in the Buku-Privacy-Policy. 

  1. Fees and Billing

9.1 Current Pricing.
The Service is currently provided at no charge. 

BUKU reserves the right to introduce paid plans, usage-based fees, or subscription pricing upon prior notice. 

9.2 Taxes.
You are responsible for all applicable taxes arising from your use of the Service. 

 

  1. Intellectual Property

All rights, title, and interest in and to the Service, including all software, trademarks, logos, and proprietary technology, are owned exclusively by BUKU. 

No rights are granted except as expressly stated in these Terms. 

  1. Confidentiality

Each party agrees to protect the other party’s confidential information using reasonable care and to use such information solely for purposes of these Terms. 

Confidentiality obligations survive termination. 

  1. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” 

BUKU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

BUKU DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE. 

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: 

  • BUKU SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES 
  • BUKU SHALL NOT BE LIABLE FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION 
  • BUKU’S TOTAL LIABILITY SHALL NOT EXCEED THE SAAS FEES PAID BY YOU TO BUKU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM  
  1. Indemnification

You agree to indemnify and hold harmless BUKU and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of: 

  • Your use of the Service 
  • Your Customer Data 
  • Your violation of these Terms or applicable law 
  • Third-party claims related to your shipments or operations 
  1. Termination

BUKU may suspend or terminate access immediately for violations of these Terms or for operational, security, or legal reasons. 

Upon termination, Sections intended to survive shall remain in effect. 

  1. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. 

You consent to exclusive jurisdiction and venue in the state and federal courts located in Utah. 

The United Nations Convention on Contracts for the International Sale of Goods does not apply. 

  1. General Provisions
  • Severability: Invalid provisions will be modified to reflect intent 
  • Assignment: BUKU may assign these Terms without restriction 
  • No Waiver: Failure to enforce is not a waiver 
  • Force Majeure: No liability for events beyond reasonable control 
  • Entire Agreement: These Terms constitute the entire agreement 
  • Electronic Acceptance: Electronic acceptance is legally binding
